These Terms & Conditions govern all retail sales made by Felt So Good Ltd to consumers through our website, over the phone, or by any other direct sales channel.
Felt So Good Ltd is registered in England & Wales under company number 08119874, VAT number GB 115393426. Our registered office is: Felt So Good Ltd, 23 Malmesbury Road, Cheltenham, England GL51 9PL.
1. CONTRACT OF SALE
1.1 By placing an order, you make an offer to purchase products from Felt So Good Ltd in accordance with these Terms.
1.2 We will confirm receipt of your order by email. A binding contract is formed only when we issue a Dispatch Confirmation Email.
1.3 Any items not listed in the Dispatch Confirmation are not part of the contract.
1.4 Ownership of products passes to you only once full payment has been received. Risk of loss or damage passes upon delivery.
2. PRICES, AVAILABILITY & PROMOTIONS
2.1 Prices are shown in Pound Sterling (£), Euro (€) and US Dollar ($), and include VAT (where applicable). Delivery charges are additional and shown at checkout.
2.2 Prices and promotions may change at any time. Promotions are valid only during the stated period and subject to availability.
2.3 Only one promotion code may be used per order. Certain promotions may apply to selected products only.
2.4 All promotion codes must be entered at the checkout to redeem the promotion.
2.5 We reserve the right to cancel or refuse any order where a pricing error has occurred. In such cases you will be given the option to confirm at the correct price or cancel with a full refund.
2.6 All products are subject to availability. If an item is out of stock, we will notify you and you will not be charged until dispatch.
3. DELIVERY
3.1 Delivery charges are set out on our website and will be confirmed at checkout.
3.2 We deliver to the UK and selected international destinations. Any customs duties, taxes or handling fees outside the UK are the responsibility of the customer. If you refuse customs charges or decline to pay, the order may be returned to us, and you will remain liable for shipping, return costs, and any reduction in value or damage.
3.3 U.S. Orders & Tariffs: From 29 August 2025 onwards, the United States has removed the de minimis threshold for commercial shipments, which means all goods imported into the U.S. may be subject to tariffs, duties, customs clearance charges, and administrative fees, regardless of value.
• If you place an order for delivery to a U.S. address, you agree that we may add an estimated tariff/duty charge at checkout (or in a follow-up invoice) to cover these costs.
• Any such tariff, duty or customs charge is the responsibility of you (the customer).
• We will use reasonable efforts to estimate such charges at the time of ordering, but the actual tariff or duty assessed by U.S. Customs may differ. In the event of under- or overcharging, we reserve the right to request you pay any shortfall, or to issue a partial refund or credit in the case of overpayment, as applicable.
3.4 Estimated delivery times are provided for guidance only. We are not liable for delays outside our control such as customs inspection, clearance, or tariff processing which are not our responsibility.
3.5 While every effort is made to send complete orders, we reserve the right to make part deliveries.
4. PAYMENT
4.1 Payment must be made in full at the time of order by credit/debit card, PayPal, or any other method offered at checkout.
4.2 We do not accept American Express or cheques.
4.3 All payments are processed securely.
5. RETURNS, REFUNDS & FAULTY GOODS
5.1 Change of Mind: You have a legal right to cancel your order within 14 days of receiving your goods. Items must be returned unused, in their original condition and packaging. Refunds will be processed within 14 days of receiving returned items. Delivery costs are non-refundable.
5.2 How to Return: Please return items to: Felt So Good Ltd – Returns, 23 Malmesbury Road, Kingsditch Trading Estate, Cheltenham, GL51 9PL, UK. We recommend using standard tracked delivery and keeping proof of postage. We do not supply return postage labels or cover the cost of the postage for change of mind returns.
5.3 Faulty/Damaged Goods: If you receive faulty or damaged goods, notify us within 7 days. We may request photos. If the product is confirmed faulty, we will provide a replacement or full refund.
5.4 Where returned items form part of a multi-buy or promotional bundle, the refund will reflect the adjusted promotional price.
6. PRODUCT DESCRIPTION & IMAGES
6.1 We make every effort to ensure product descriptions and images are accurate. However, colours and finishes may vary depending on your screen and device.
6.2 All products are sold individually unless otherwise stated.
6.3 As our products are handcrafted in Nepal, we allow for a variance of up to 10% in size, colour, and finish. Such variations are a natural feature of handmade goods and shall not constitute a defect or non-conformity.
6. INTELLECTUAL PROPERTY & COPYRIGHT
7.1 All designs, product concepts, images, photographs, text, and other creative materials displayed on our website or supplied by Felt So Good Ltd are protected by copyright, design right, and other intellectual property laws in the United Kingdom and internationally.
7.2 The copyright and all other intellectual property rights in our products and designs are owned exclusively by Felt So Good Ltd.
7.3 You may not reproduce, copy, modify, distribute, display, or use any part of our designs, photographs, artwork, or text without our prior written consent.
7.4 Purchase of our products does not grant or imply any licence or right to reproduce, manufacture, or adapt our designs for resale or any other purpose.
7.5 We actively monitor and enforce our intellectual property rights. Any unauthorised use may result in legal action.
8. COOKIES & PRIVACY
8.1 Our website uses cookies to improve your browsing experience. You may disable cookies in your browser, but this may affect site functionality.

9. LIABILITY
9.1 Nothing in these Terms excludes or limits liability for death or personal injury caused by our negligence, fraud, or any matter we cannot exclude by law.
9.2 Subject to clause 8.1, our liability to you shall not exceed the price paid for the products in question.
9.3 We are not responsible for indirect or consequential losses, including loss of enjoyment, opportunity, or revenue.
10. AMENDMENTS
We reserve the right to update these Terms at any time. The Terms applicable to your order are those in force on the date you place your order.
11. GOVERNING LAW
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Wholesale
TERMS AND CONDITIONS FOR THE SUPPLY OF GOODS
These Terms & Conditions govern all wholesale sales made by Felt So Good Ltd to trade customers. By placing an order, you agree to these Terms to the exclusion of all other terms (including those in your own purchase orders, unless agreed in writing by a director of Felt So Good Ltd).

1. CONTRACT FORMATION
1.1 Each order you place constitutes an offer to purchase goods. A binding contract is formed only when we confirm acceptance by issuing a Dispatch Confirmation Email.
1.2 We reserve the right to reject any order at our discretion.
1.3 Delivery of goods constitutes acceptance of these Terms.
2. THE GOODS
2.1 We may make minor changes to the design, finish, packaging, or specification of goods without notice, provided such changes do not materially affect quality or performance.
2.2 All product descriptions, samples, images, or marketing materials are illustrative only. They do not form part of the contract.
2.3 As our products are handcrafted in Nepal, we allow for a variance of up to 10% in size, colour, and finish. Such variations are a natural feature of handmade goods and shall not constitute a defect or non-conformity.
3. CUSTOMER OBLIGATIONS
3.1 You may resell goods through your own retail outlets or e-commerce site.
3.2 You may not sell our goods on third-party platforms (including Amazon, eBay, Etsy, or similar) without our prior written consent.
3.3 You must ensure that:
• product listings are accurate and free of spelling/grammatical errors;
• you do not reproduce our product descriptions or location/lifestyle images without written consent;
• supplied product images are not altered or misrepresented.
3.4 For the avoidance of doubt, you are prohibited from: listing the Goods for sale on third party platforms outside of Europe.
3.5 We reserve the right to require removal of any listings that breach this clause.
4. ORDERS, DELIVERY & CUSTOMS
4.1 Minimum pack size: most items are supplied in multiples (e.g., packs of six). Minimum order quantities will be stated on our price lists or website.
4.2 Delivery charges are payable in addition to product prices and are displayed at checkout or on your invoice.
4.3 International deliveries may be subject to additional duties, tariffs, or handling fees (including post-Brexit customs charges and US tariffs). These charges are the buyer’s responsibility.
4.4 Use of Customer’s Own Courier: If you arrange collection of the goods using your own courier or shipping agent:
• Risk of loss or damage to the goods passes to you at the point the goods are collected from our premises.
• We shall not be liable for any loss, damage, delay, or failure to deliver arising after the goods leave our warehouse.
• It is your responsibility to ensure that your chosen courier provides appropriate insurance cover and handles the goods in accordance with industry standards.
5. RISK & OWNERSHIP
5.1 Risk of loss or damage passes to you on delivery.
5.2 Ownership of goods remains with Felt So Good Ltd until payment is received in full for all goods supplied under any account.
5.3 Until ownership passes, you must:
• store goods separately and clearly identifiable as our property;
• maintain goods in good condition;
• Ensure goods for their full value with us named as loss payee if requested.
5.4 If you resell goods before full payment, ownership passes immediately prior to your onward sale, and proceeds of such sales must be held in trust for us to the extent of sums owed.
5.5 We may enter your premises (or those of third parties holding goods) to recover unpaid goods.
6. PRICE, PAYMENT AND PROMOTIONS
6.1 Prices are exclusive of VAT, delivery costs, and any applicable duties or taxes.
6.2 We reserve the right to adjust prices due to currency fluctuations, increased costs, or errors.
6.3 Invoices will be issued at the point of dispatch.
6.4 Payment terms (for approved account customers) are 30 days from invoice date. First two orders must be paid pro forma. Non-account customers must pay in full before dispatch.
6.5 Customer based outside of the UK are not eligible for 30 day payment terms
6.6 Late payments will accrue interest at the statutory rate under the Late Payment of Commercial Debts (Interest) Act 1998.
6.7 If payment is overdue, we may suspend further deliveries until cleared funds are received.
6.8 Only one promotional code or discount may be applied per order.
6.9 We provide RRPs for all of our Goods, these are to be used only as a guideline. RRPs can be found on our Website under the RRP heading.
6.10 Prices are given in Pound Sterling (£), Euros (€) or US Dollars ($) and, unless specified otherwise, payments must be made in the currency specified by us in available cleared funds by electronic transfer to the following bank account or such other bank account as we may nominate from time to time:

6.11 Please note that we do not accept payment made with American Express or cheque.
7. WARRANTY
7.1 We warrant that, at delivery, goods will:
• conform to their specification in all material respects;
• be free from material defects in design and workmanship
7.2 Claims for defects must be notified in writing within 15 days of delivery (or within 60 days for latent defects not visible on reasonable inspection).
7.3 At our option, we will replace defective goods or issue a credit note. This is your sole remedy for defective goods.
7.4 We are not liable where defects arise from: misuse, improper storage, unauthorised alterations, or continued use after discovery of a defect.
8. EXCLUSIONS AND LIMITATIONS OF LIABILITY
8.1 Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any liability which cannot be excluded by law.
8.2 Subject to clause 8.1, our liability per order is limited to the value of the goods supplied (or £100, whichever is greater).
8.3 We are not liable for:
• loss of profit, revenue, business, goodwill or opportunity;
• indirect, consequential or special losses;
• delays or failures beyond our reasonable control.
8.4 Our liability for any non-delivery of goods or failure to deliver goods within the contractual timescale is strictly limited.
• Unless otherwise agreed in writing, delivery must take place within 60 days from the date of dispatch.
• Notification on non delivery of goods must be made in writing during this timeframe to allow us to raise an investigation internally and with our chosen courier.
• If goods are not delivered within this period, your sole remedy shall be either: (i) replacement of the undelivered goods within a reasonable period, or (ii) a credit note or refund of the price paid for those goods.
• We shall have no further liability to you for any non-delivery, late delivery or failure to meet any specified delivery date.
9. TERMINATION
9.1 We may terminate the contract immediately if you:
• commit a material breach of these Terms;
• fail to pay any sum when due;
• become insolvent or subject to insolvency proceedings.
9.2 Upon termination, all outstanding sums become immediately payable, and we may recover goods in which ownership has not passed.
10. INTELLECTUAL PROPERTY & COPYRIGHT
10.1 All designs, product concepts, images, photographs, text, and creative materials supplied by or displayed on behalf of Felt So Good Ltd are protected by copyright, design right, and other intellectual property laws in the UK and internationally.
10.2 The copyright and all intellectual property rights in our products, designs, and packaging are owned exclusively by Felt So Good Ltd.
10.3 Purchase of our goods does not grant or imply any licence or right to reproduce, manufacture, or adapt our designs for resale, or for any other commercial purpose.
10.4 You may not copy, reproduce, modify, distribute, or use any Felt So Good designs, imagery, or marketing materials without prior written consent.
10.5 We actively monitor and enforce our intellectual property rights, and any unauthorised use will result in legal action.
11. CONFIDENTIALITY
11.1 You must keep all pricing, discounts, and confidential information secret and not disclose it to third parties.
11.2 This obligation continues after termination of the contract.
12. NOTICE
Notices must be in writing and sent by post or email to the addresses stated on the order or as otherwise notified in writing. Notices by post are deemed received 2 business days after posting (UK) or 5 business days (airmail). Notices by email are deemed received at the time of transmission (during business hours).
13. GENERAL
13.1 These Terms constitute the entire agreement between us and supersede all prior agreements.
13.2 No variation is binding unless agreed in writing and signed by both parties.
13.3 You may not assign or transfer rights under these Terms without our consent./p>
13.4 If any clause is found invalid, the remainder shall remain in force.
13.5 Nothing in these Terms creates a partnership, agency, or employment relationship.
14. GOVERNING LAW AND JURISDICTION
These Terms, and any disputes arising from them, shall be governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction, except that we may seek injunctive or equitable relief in any competent jurisdiction.
